VOUCH TERMS OF SERVICE

Effective Date: October 26, 2026

These Terms of Service (“Terms”) govern your access to and use of Vouch, including vouch.bz, Vouch applications, websites, business tools, listings, reviews, ratings, photographs, menus, content, communications, and related products and services (collectively, the “Services”).

The Services are operated by Real Estate Technology, LLC, doing business as Vouch (“Vouch,” “we,” “us,” or “our”).

By accessing or using the Services, creating an account, claiming a business listing, submitting content, or purchasing a paid service, you agree to these Terms.

If you do not agree, do not use the Services.

1. PURPOSE OF VOUCH

Vouch is a platform designed to help users discover, evaluate, recommend, and interact with businesses, services, organizations, places, and other local offerings.

Vouch may provide information including:

business names and descriptions;
locations and contact information;
operating hours;
categories;
menus;
photographs;
ratings;
reviews;
recommendations;
business responses;
pricing or service information;
maps;
rankings;
search results;
promotional content; and
other community or business information.

Vouch generally does not own, operate, endorse, or control businesses appearing on the platform.

2. ELIGIBILITY

You must be legally capable of entering into a binding agreement to create an account or purchase Services.

If you use Vouch on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

You may not use Vouch if applicable law prohibits you from receiving or using the Services.

3. USER ACCOUNTS

Certain features may require an account.

You agree to:

provide accurate information;
maintain accurate account information;
protect your login credentials;
not share accounts in an unauthorized manner; and
promptly notify us if you believe your account has been compromised.

You are responsible for activity occurring through your account unless caused by Vouch's own unauthorized actions.

We may require identity, email, telephone, business, or other verification.

We may refuse, suspend, restrict, or terminate an account that we reasonably believe is fraudulent, misleading, abusive, compromised, or being used in violation of these Terms.

4. BUSINESS LISTINGS

Vouch may create business listings using information obtained from:

businesses;
users;
publicly available sources;
licensed data sources;
directories;
government or regulatory records;
websites;
third-party data providers; or
other lawful sources.

A business does not acquire ownership of a Vouch listing merely because the listing describes that business.

Businesses may be permitted to claim or verify listings.

Claiming a listing may allow a business to:

update certain factual information;
add photographs;
add menus or services;
respond to reviews;
publish posts or announcements;
access analytics;
purchase advertising or enhanced features; or
use other business tools offered by Vouch.

Claiming a listing does not give the business the right to remove legitimate reviews, ratings, photographs, or other independent user content merely because the business disagrees with them.

5. BUSINESS REPRESENTATIONS

If you claim or manage a business listing, you represent that:

you are authorized to act for that business;
information you submit is truthful and materially accurate;
you will not impersonate another business;
you will not falsely claim ownership or management authority;
you will not manipulate ratings or reviews;
you will not offer undisclosed compensation for favorable reviews;
you will not threaten, intimidate, retaliate against, or harass reviewers; and
you will comply with applicable advertising, consumer-protection, competition, privacy, and other laws.

Vouch may require evidence reasonably sufficient to verify your authority to claim a listing.

6. USER REVIEWS AND RATINGS

Vouch is intended to reflect authentic experiences and opinions.

When submitting a rating, review, recommendation, photograph, or other content concerning a business, you agree that:

the content reflects your genuine experience or opinion;
factual statements will be truthful to the best of your knowledge;
you will disclose material relationships where appropriate;
you will not submit fake reviews;
you will not review your own business deceptively;
you will not coordinate review manipulation;
you will not submit reviews primarily to harass, extort, defame, or retaliate against another person;
you will not submit reviews in exchange for undisclosed compensation; and
you will comply with Vouch's community and moderation rules.

Disagreement with a negative opinion does not by itself make a review prohibited.

7. USER CONTENT

The Services may permit users or businesses to submit, upload, publish, transmit, display, or otherwise provide reviews, ratings, photographs, videos, menus, descriptions, messages, comments, profile information, business information, responses, and other materials (“User Content”).

You retain ownership of intellectual property rights you lawfully hold in your User Content.

By submitting User Content to Vouch, you grant Vouch a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, translate, publish, display, perform, distribute, communicate, format, index, analyze, promote, and otherwise use that User Content as reasonably necessary to operate, improve, market, distribute, and provide the Services.

This license includes use of User Content:

on Vouch websites and applications;
in search results;
in business listings;
in promotional materials;
in social-media promotions;
in notifications;
in emails;
through APIs or distribution partners;
in aggregated or derived platform features; and
in other Vouch products or services.

The license continues for as long as reasonably necessary to operate the Services, subject to applicable law and our Privacy Policy.

You represent that you have the rights necessary to submit the User Content and grant this license.

8. PROHIBITED CONTENT

You may not submit or use the Services to distribute content that:

is unlawful;
infringes intellectual-property rights;
contains malicious software;
unlawfully exposes personal or confidential information;
fraudulently impersonates another person;
constitutes spam or deceptive commercial activity;
contains fabricated reviews or ratings;
promotes illegal conduct;
constitutes unlawful threats or harassment;
exploits minors;
is submitted through automated abuse or manipulation;
attempts to corrupt Vouch's ranking, rating, review, or recommendation systems; or
otherwise materially violates these Terms or Vouch policies.

Vouch may remove, restrict, label, demote, or otherwise moderate content in its discretion subject to applicable law.

9. CONTENT MODERATION

Vouch may, but is not obligated to:

review content;
investigate reports;
request supporting information;
remove content;
restrict distribution;
add warnings or labels;
temporarily hide content;
suspend accounts;
restrict business-management privileges; or
take other reasonable moderation actions.

Moderation decisions may consider factors including authenticity, relevance, conflicts of interest, manipulation, harassment, legality, platform integrity, and community safety.

Vouch does not guarantee that every prohibited item will be identified or removed.

10. REVIEWS OF DISPUTED CONTENT

Businesses and users may report content they believe violates Vouch policies.

Vouch may request documentation from either side.

Vouch is not a court and is generally not responsible for adjudicating private factual disputes.

We may leave content available when it represents a lawful opinion or when available evidence does not establish a violation of Vouch policy.

We may remove or restrict content where reasonably appropriate.

11. SEARCH, RATINGS, RANKINGS, AND RECOMMENDATIONS

Vouch may organize and display listings using automated and manual systems.

Search results, recommendations, rankings, badges, ratings, popularity indicators, or other placements may consider factors such as:

relevance;
location;
category;
quality;
completeness;
ratings;
review activity;
recency;
popularity;
user engagement;
availability;
verification;
trust signals;
paid promotion; and
other factors determined by Vouch.

Vouch does not guarantee any business a particular ranking, rating, search position, amount of traffic, or commercial outcome.

Paid placement, where offered, may be identified as sponsored, promoted, featured, or similar wording.

12. BUSINESS INFORMATION AND ACCURACY

Vouch attempts to provide useful information but does not guarantee that business information is always accurate, complete, current, or error-free.

Businesses change:

addresses;
telephone numbers;
pricing;
menus;
personnel;
ownership;
hours;
availability; and
services.

Users should confirm important information directly with the business.

13. PAID SERVICES

Vouch may offer paid products including:

enhanced listings;
business subscriptions;
promoted placement;
advertising;
analytics;
lead-generation tools;
verification features;
premium content tools;
messaging or customer-engagement tools; and
other paid business services.

Specific pricing, billing periods, renewal terms, included features, and cancellation rules will be disclosed when a paid service is purchased.

Unless otherwise stated at purchase, fees are quoted in the currency displayed at checkout.

14. SUBSCRIPTIONS AND RENEWAL

If you purchase a recurring subscription, you authorize Vouch or its payment provider to charge the applicable recurring fees and taxes using your selected payment method.

Unless otherwise stated at checkout, subscriptions automatically renew until cancelled.

You may cancel future renewal according to the cancellation method provided through your account or purchase interface.

Cancellation prevents future renewal but ordinarily does not result in a refund for a billing period already begun unless required by law or expressly stated otherwise.

15. REFUNDS

Except where required by applicable law or expressly provided in the applicable purchase terms, fees paid to Vouch are non-refundable.

Vouch may issue credits or refunds at its discretion without creating an obligation to provide similar relief in other cases.

16. ADVERTISING AND SPONSORED CONTENT

Vouch may display advertising, sponsored listings, promotions, affiliate content, or paid placements.

Payment may affect visibility or placement where expressly permitted by Vouch's advertising products.

Payment does not entitle a business to:

positive reviews;
removal of legitimate negative reviews;
an artificially increased rating;
immunity from moderation; or
preferential treatment in enforcement of platform rules.

17. INTELLECTUAL PROPERTY

Except for User Content and third-party materials, the Services and their underlying technology and materials are owned by or licensed to Real Estate Technology, LLC.

This includes, as applicable:

software;
source code;
databases;
database structures;
interfaces;
designs;
branding;
graphics;
text;
taxonomies;
ranking methodologies;
business rules;
algorithms;
analytical systems; and
other proprietary materials.

You may not copy, reproduce, modify, distribute, sell, reverse engineer, scrape, systematically extract, or commercially exploit such materials except as expressly permitted by Vouch or applicable law.

18. VOUCH BRAND

Vouch, Vouch.bz, associated logos, trade dress, product names, and other marks are owned by Real Estate Technology, LLC or its licensors.

Nothing in these Terms grants you permission to use Vouch branding except as expressly authorized.

19. COPYRIGHT COMPLAINTS

If you believe content available through Vouch infringes rights you own, contact:

Your notice should provide sufficient information for us to identify:

the copyrighted work;
the allegedly infringing content;
the location of that content;
your contact information;
the basis for your claim; and
any other information reasonably necessary for us to evaluate the complaint.

We may request additional information.

20. PRIVACY

Our collection, use, disclosure, and handling of personal information are governed by the Vouch Privacy Policy.

By using the Services, you acknowledge the practices described in that policy.

21. THIRD-PARTY SERVICES

Vouch may contain links to or integrations with third-party services such as:

maps;
payment processors;
social networks;
messaging providers;
websites;
booking services;
delivery services; or
other external providers.

Vouch does not control third-party services and is not responsible for their content, availability, security, practices, products, or services.

Your use of third-party services may be governed by separate terms.

22. PLATFORM CHANGES

Vouch may add, modify, suspend, discontinue, or restrict features or Services at any time.

We do not guarantee that any particular feature will remain available indefinitely.

23. ACCOUNT SUSPENSION AND TERMINATION

Vouch may suspend, restrict, or terminate access when reasonably necessary because of:

violation of these Terms;
suspected fraud;
security risks;
review manipulation;
abuse;
illegal activity;
nonpayment;
threats to Vouch or other users;
misuse of the platform; or
legal or regulatory requirements.

Where appropriate, Vouch may provide notice or an opportunity to appeal.

24. NO ENDORSEMENT OR GUARANTEE

The presence of a business on Vouch does not mean Vouch endorses or guarantees that business.

Ratings, reviews, recommendations, and other user content reflect the views of their respective contributors.

Vouch does not guarantee:

quality;
safety;
legality;
licensing;
qualifications;
suitability;
pricing;
availability;
performance; or
reliability

of a business, service, product, or person appearing through the Services.

Users are responsible for making their own decisions.

25. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

VOUCH DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY.

VOUCH DOES NOT WARRANT THAT:

INFORMATION ON THE SERVICES IS COMPLETE OR ACCURATE;
THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;
ANY BUSINESS WILL MEET A USER'S EXPECTATIONS;
ANY USER CONTENT IS TRUE;
ANY PARTICULAR COMMERCIAL RESULT WILL OCCUR; OR
THE SERVICES WILL ALWAYS BE FREE FROM HARMFUL COMPONENTS.

26. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REAL ESTATE TECHNOLOGY, LLC, VOUCH, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOUCH'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

US $100; or
the amounts you paid directly to Vouch during the six months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so portions of this Section may not apply to you.

27. INDEMNIFICATION

To the extent permitted by law, if you operate or manage a business account or use Vouch for commercial purposes, you agree to indemnify, defend, and hold harmless Real Estate Technology, LLC and its affiliates, officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, and reasonable costs arising from:

your User Content;
your business activities;
your violation of these Terms;
your violation of law;
infringement caused by materials you submit; or
misuse of the Services.

Vouch reserves the right to control the defense of any matter subject to indemnification.

28. GOVERNING LAW

These Terms and any dispute, claim, or controversy arising out of or relating to the Services, your use of Vouch, or your relationship with Vouch shall be governed by and construed in accordance with the laws of Belize, without regard to conflict-of-laws principles.

Nothing in these Terms limits any rights or protections that cannot lawfully be waived under applicable law.

29. JURISDICTION AND VENUE

Except where applicable law provides otherwise, any dispute, claim, or proceeding arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Belize.

You and Vouch consent to the personal jurisdiction of the courts of Belize for such disputes and waive any objection based on venue or inconvenient forum, to the fullest extent permitted by applicable law.

Nothing in this Section prevents Vouch from seeking temporary, emergency, injunctive, or other equitable relief in any court of competent jurisdiction where necessary to protect its intellectual property, confidential information, systems, users, or legal rights.

30. CHANGES TO THESE TERMS

Vouch may update these Terms.

When material changes are made, we may provide notice through the Services, by email, by posting an updated effective date, or through another reasonable method.

Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.

31. SEVERABILITY

If any provision is found unenforceable, the remaining provisions remain effective.

The unenforceable provision shall be modified or interpreted to the minimum extent necessary to make it enforceable where permitted by law.

32. NO WAIVER

Failure by Vouch to enforce a provision does not waive our right to enforce it later.

33. ASSIGNMENT

You may not assign these Terms without Vouch's prior written consent.

Vouch may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, transfer of assets, or sale of all or part of the Vouch business.

34. ENTIRE AGREEMENT

These Terms, the Privacy Policy, applicable business or subscription terms, and policies expressly incorporated by reference constitute the agreement between you and Vouch regarding the Services.
